Role/ Department: Legal Counsel, Alternative Investments/Legal
We are seeking a highly motivated, self-starting alternative investment attorney to join a 19-member legal team that supports Northern Trust's asset management business. Broad asset management experience with knowledge of registered investment advisers, and private equity and hedge fund structures and strategies is required.
The position will work directly with the General Counsel of 50 South Capital Advisors, LLC, the alternative investment subsidiary of Northern Trust Asset Management. 50 South Capital Advisors, LLC, is a registered investment adviser and wholly owned subsidiary of Northern Trust Corporation. The position will report to the Northern Trust Legal Department's Deputy General Counsel and Head of Asset Management Legal.
The key responsibilities of the role include:
• Provide day-to-day legal advice and counsel to management, product development, sales, marketing, portfolio management, risk, compliance and operations teams.
• Draft, negotiate and review various legal agreements and regulatory documents.
• Ensure compliance with evolving SEC, FINRA, CFTC and state regulatory requirements.
• Monitor and analyze new laws, regulations and industry trends to assess their impact on the business and advise on policy development and implementation.
• Represent the firm in regulatory examinations, inquiries and enforcement matters.
• Act as legal advisor to internal committees and participate in relevant industry groups to influence policy and share best practices.
• Assist in drafting and updating policies, procedures and training materials to support a robust compliance and risk management culture.
• Support corporate governance, board meetings and regulatory filings.
Skills/ Qualifications:
• Must have a valid license to practice law in Illinois
• Strong knowledge of investment management laws, SEC and FINRA regulations, and industry best practices.
• Experience advising on alternative investment regulatory issues, including markets, distribution, advertising and compliance programs.
• Ability to apply high-quality legal analysis, practical judgment and strategic thinking to identify and mitigate legal and regulatory risks.
• Strong interpersonal skills, with the ability to work effectively with executives, business partners and compliance teams.
• Exceptional written and verbal communication skills, with the ability to draft precise and practical legal guidance.
• Ability to manage relationships with outside counsel efficiently and cost-effectively.
• Adaptability to evolving legal and regulatory landscapes, with a proactive approach to emerging topics.
• Demonstrated ability to work both independently and collaboratively in a fast-paced, high-stakes environment.
Working Model: Hybrid (#LI-Hybrid)
We have a balanced hybrid working model to ensure you get the flexibility you need, and the successful candidate will spend their time between working in the office and working from home.
Salary Range:
$114,500 - 194,700 USD
Salary range is a good faith estimate of base pay. Northern Trust provides a comprehensive benefits package including retirement benefits (401k and pension), health and welfare benefits (medical, dental, vision, spending accounts and disability), paid time off, parental and caregiver leave, life & accident insurance, and other voluntary and well-being benefits. Northern Trust also provides a discretionary bonus program that may include an equity component.
